Abstract:

•  The background analysis over status quo and M&A in packaging equipment industry of China.

Packaging equipment industry emerged from early 1980s when firms in this sector were less competitive and overlapped in low level. Taking Automatic sealing machine for example, more than a hundred companies within one Province were producing this machine with no change in technique over 20 years. Though demand was huge from market, the chaotic situation is looming large with construction in the same function, competition at low-end, unfavorable profitability, less awareness of proprietary property right. Packaging equipment industry is a newly established sector where famous brands is few while some companies are capable of imaging building campaign with famous products put on market. Production centricity is on the crescendo with canned production line in beer and beverage, corrugated board production line, instant noodle production lines, cap filler, wide laminators, plastic blow molding machine more than 200 liter , BOPP blow molding machine and Chocolate production equipment.

Number of international enterprises or groups has put firm hand on production lines crossing liquid filling, set of beverage packaging, aseptic Packaging and cigarette packs which was not in shape in China where only corrugated box packaging machinery and small size of packaging stand positive position. The M&A proves inevitable with foreign companies coming in as small companies go bankruptcy. Some products will be under the control of monopolizers over packaging machine in cigarette, beverage and other products.

Technology has been less factoring in some packaging machines than foreign countries such as remote control (monitoring), stepper motor technology, laser cutting technology and info-processing technology.

Parts production

International packaging community has put more concern on collaborative work between machinery processing and packaging system as whole. Therefore, professional development in machinery parts production is inevitable as production will be outsourcing to special factories from packaging machinery plants while some parts will be made by highly professionalized manufacturers.

Polarized development in multi-function on one hand and vertical development in one direction on the other

High productivity and diversified option is the goal of packaging machinery industry. This move will push specification into two directions: multi-function and vertical development. Some companies such as Coca-Cola and Pepsi have to put their products around the world which set high expectation to packaging products. It's all about time and quality.

2 The motives behind M&A of packaging machine industry in China

A. National policy

Based on Outline for Technological Development in Catering industry Between 2006 and 2016, China National Food Industry Association (CNFIA) prioritized more than 10 types of packaging machinery and 13 types of food processing machinery to be developed. Insiders believed that the Outline is viewed as division-line to food and packaging industries with consequences of reshuffle among thousand companies. 20-year-chaotic situation seems in the end with number of brand new firms emerged.

B. The status quo of competition

It is known that there have been near 6000 companies in food and packaging machinery industry in which 2000 of them were less stable and 15% of them gearing to other business or being boxed out of market while 15% of new companies step in. However, the companies that profit for more than billions are mere dozens, 50 for annual sakes at RMB 30 million totaled RMB 8 billion in sales. About 75% of export products are come from these 50 companies. The reshuffle in this sector, by some insiders, is inevitable. The big company will stake out this territory.

C. Increasing domestic demand and foreign capital coming in

The market expanding and entering into WTO have attracted foreign capital flowing in. The state-owned companies once under the protection will face fierce competition from foreign counterparts. Due to the tariff barriers, major threat comes out of domestic companies embroiling into war on price and marketing savvies. However, the current competition will deal change in industrial structure and M&A will last for a period of time.

3 M&A trend of packaging machinery industry

There existed a large number of companies in this sector. It's self-justified that the case of M&A occurred in this sector will increase based on small scale of companies. The analysis materials identified by us . indicate host of tendencies as followed:

A. the bankruptcy among small companies will be frequent due to being less capable to compete and attractive to big companies or waiting to be acquired by large and medium firms. On the other hand, M&A among big players will be a trend and last long.

B. the centricity of insiders is on the rise. Scale economy in catering and beverage industry demands packaging industry to move forward in the same trajectory. In that connection, packaging industry will grow stronger through M&A based on its advantages.

C. following the awareness of environmental protection and rule of law, green packaging sets the high expectation of technology in this sector while large chunk of input capital and know-how will drive M&A in this sector.

D. the M&A by foreign companies is unfolding. At present, this type of M&A is few though, the upgrading of M&A in this sector will experience more acquisition by foreign counterparts in the near future.
